Terminal Agreement

1. Introduction

This document outlines the agreement made on the payment terminal or any other device ("Device") provided by BULDIY LTD ("Company") to it's clients ("Merchants"). By using our Services, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Services.

2. Ownership

Merchants can buy, rent or loan (with x% intrest rate) our Devices. Depends on the contract we made or the contract we will make. For rented Deviced, the Merchant MUST pay a monthly or yearly subscription to keep the payment terminal active and avoid deactivation. Please refer to our Terms and Conditions for more on due invoices and deactivation. Merchants that buy directly the Devices from us, will receive an ownership contract about the Device.

When the Merchant have the Device, rented, bought or loan, the responsibilities are on the Merchant for the Device. BULDIY LTD will NOT be responsible for any issues, damages or any other problems. For more, refer to the section number '5.

NOTE: Merchants that paid for the Device just to start a partnership with us DO NOT own their Device received from us. It doesn't mean that if a Merchant paid in advanced for the price of the Device that owns the device. This will give the Merchant the power to not have a subscription and BULDIY LTD only do this type of deals with Merchants that needs to have a Device as soon as possible or when the Merchant's business has passed legally under some criteria such as a lower MRR of 10,000 EUR. 3. Fees and pricing

The pricing and fees of the payment terminal (per tranaction fees, subscription etc.) are visible on our website (pricing page) except if a contract is made between BULDIY LTD and the Merchant. If so, the info will be visible on the contract made between BULDIY LTD and the Merchant.

4. Installation and Setup

BULDIY LTD is only responsible to give the Device to the Merchant, except if a written deal/offer is made. Installation and setup can be asked from our team.

5. Usage, Maintenance and Support

Proper Use

1. The terminal is to be used exclusively for processing legal authorized payment transactions.

2. The Merchant agrees not to tamper with, modify, or use unauthorized software on the terminal.

Merchant’s Responsibilities:

1. Keep the terminal in good working condition and protect it from damage, theft, or loss. 2. Notify BULDIY LTD immediately in case of any issues, damage, or technical problems.

3. Ensure that the terminal is connected to a secure network for operations.

Please note that for any issues, damage or any other problems made on the Device, must get paid by the Mechant for repair without BULDIY LTD making a profit on the repair cost that the Merchant paid.

Loss or Theft

The Merchant must report any loss or theft of the terminal within 12 hours. The Merchant is liable for the replacement cost of the terminal if it is lost, stolen, or irreparably damaged.

6. Liability

Merchants are responsible for: Any damages to the Device due to misuse, negligence, or failure to follow usage guidelines from PAX Technologies based on the exact Device. The cost of replacing lost or stolen Devices. BULDIY LTD is not liable for losses or damages resulting from Device malfunctions unless caused by manufacturing defects.

7. Governing Law

This Agreement is governed by the laws of the Republic of Cyprus. Any disputes arising from this Agreement will be resolved in accordance with the dispute resolution process specified in the overarching service agreement.
